Please review these Terms and Conditions ("Terms", "Agreement") carefully before accessing our website or commissioning software, mobile application, cloud hosting, or ERP development services from Weproztech IT Solutions Private Limited ("Weproztech", "we", "us", or "our").

1. Acceptance of Agreement

By navigating this portal, requesting architecture proposals, or executing a commercial Statement of Work (SOW), you confirm that you have read, comprehended, and agreed to be legally governed by these terms and all applicable statutory regulations of India.

2. Scope of Services & Development Lifecycles

Weproztech provides bespoke engineering across enterprise web applications, mobile applications (Flutter/React Native), commercial ERP software (Weproz Medic, Weproz Schools), API integrations, and cloud infrastructure management. Technical specifications, milestone timelines, deliverable phases, and acceptance criteria are finalized under project-specific agreements.

3. Intellectual Property Rights

• Custom Client Deliverables: Upon receipt of complete contractual remuneration, intellectual property and production source code written specifically for the client are assigned to the client in accordance with the signed service contract.
• Proprietary Frameworks & Assets: Weproztech retains exclusive ownership over pre-existing code modules, proprietary base kernels, software libraries, and internal deployment tools used to construct client platforms.
• Website Material: All textual descriptions, graphics, architecture diagrams, trade names, and branding on this portal are the copyrighted property of Weproztech IT Solutions.

4. Payment Terms & Milestone Remuneration

Invoices are generated based on mutually agreed milestone schedules or monthly retainer models. Payment obligations must be cleared within the designated due date outlined on corporate invoices. Taxes, including statutory Goods and Services Tax (GST), are applied as mandated by Indian tax authorities.

5. Client Responsibilities & Data Backups

Clients agree to furnish requisite access credentials, design assets, and functional feedback in a timely manner. While Weproztech implements automated backup protocols on managed servers, clients maintaining self-hosted or root server environments remain responsible for verifying their organizational disaster recovery archives.

6. Limitation of Liability

In no event shall Weproztech, its directors, engineers, or affiliates be liable for indirect, incidental, punitive, or consequential losses, including lost profits, network downtime, or business interruptions arising from third-party vendor failures, external network carrier disruptions, or unapproved client modifications to production code.

7. Governing Jurisdiction & Dispute Resolution

This Agreement shall be construed, interpreted, and governed in accordance with the laws of the Republic of India. Any legal dispute, arbitration, or proceeding arising under or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Lucknow, Uttar Pradesh, India.
